M&A

  • Acted for Kulim (Malaysia) Berhad, the majority shareholder of New Britain Palm Oil Limited, the largest producer of sustainable palm oil in the world, in a takeover by Sime Darby for £1.5 billion.
  • Advised and acted for PETRONAS Dagangan Berhad (PDB) in its cross border acquisition of 6 downstream companies in the Philippines, Vietnam, Thailand and Malaysia representing PDB’s first overseas acquisitions in its history.
  • Advised and acted for BP plc in the sale of its purified terephtalic acid production plant in Gebeng, Kuantan to India’s Reliance Global Holdings Pte Ltd for US$230 million.
  • Advised and acted for a consortium of short-listed bidders in the acquisition of Esso Malaysia Berhad, ExxonMobil Malaysia and ExxonMobil Borneo from ExxonMobil Corporation.
  • Advised and acted for Leighton Offshore International in its acquisition of DPS Bristol’s engineering consultancy business in Malaysia.
  • Advised and acted for Prudential Financial Inc and Bank Simpanan Nasional in the acquisition of the entire issued share capital of Uni. Asia Life Assurance Berhad through a newly formed joint venture for RM518million.
  • Advised and acted for Sun Life Financial Inc in the acquisition of CIMB Aviva Assurance and CIMB Aviva Takaful by Khazanah Nasional Berhad and Sun Life Financial Inc of 51% and 49% of the share capital in CIMB and Aviva plc respectively for RM1.8 billion.
  • Advised and acted as Malaysian counsel for Toyota Tsusho Corporation in its acquisition of Borneo Technical Co. (M) Sdn Bhd from Hup Soon Global Corporation Limited which represents Toyota Tsusho's full-fledged entry into the aftermarket auto-parts businesses in Asian region.
  • Advised and acted for Phillips 66 in the sale of its equity in Malaysian Refining Company, the operator of one of two refining trains included in PETRONAS’s 200,000-b/d refinery complex in Sungai Udang, Melaka to PETRONAS for US$645 million.

Oil & Gas

  • Acted for international oil services companies in the setting up of their Malaysian operations and application for Petronas licence/registration.
  • Advised clients on the laws relating to the transportation, supply and storage of petroleum products in Malaysia.
  • Advised clients on licensing and regulatory requirements in relation to trading of commodities including petroleum products.
  • Carried out due diligence and advised international oil companies on bids to farm in interest in production sharing contracts and joint operating agreements for oil and gas exploration and production offshore Malaysia.
  • Advised clients on licensing and regulatory requirements in relation to trading of commodities including petroleum products.
  • Acted as legal adviser for preparation of the proposed governance structure for the Pengerang Integrated Petroleum Complex in Johor, Malaysia.

Shipping

  • Advised and acted for receivers in the sale of vessels pursuant to debentures.
  • Advised MISC on its proposed corporate restructuring of its vessels ownership.
  • Acted for ship-owners in regards to sale of vessels, transfer of ownership in vessels, registration and de-registration of vessels in the Malaysian registry and change of vessel name.
  • Acted for banks in ship financing and registration and discharge of ship mortgage.
  • Advised and acted for shipowners in the Malaysian flag registration of vessel including ship survey, carving & marking survey, change of flag survey; obtaining international tonnage certificate, international call sign, IMO number, ship radio licence.

Healthcare

  • Advised and acted for a pharmaceutical company in the supply of the H1N1 flu vaccine to the Malaysian government.
  • Advised and acted for a pharmaceutical company in the tender and supply of the H5N1 flu vaccine to the Malaysian government.
  • Advised a pharmaceutical company on the laws governing the processes of government procurement in Malaysia.
  • Advised and acted for a pharmaceutical company on the sponsorship of medical facilities to hospitals in Malaysia.
  • Provided legal consultancy on an in house basis to the Malaysian subsidiary of a heath care major.
  • Advised a health care major on various issued in relation to registration of pharmaceutical products and conduct of clinical trials in Malaysia.
