  Overview  

Fariz Abdul Aziz is a partner in the Corporate Department of Skrine. Fariz’s main area of focus is on cross border mergers and acquisitions, energy, oil & gas, take-overs, private equity investments, and corporate restructurings. He has represented a large number of leading foreign multinationals on inward bound transactions and divestments. Fariz has also recently been advising Malaysian entities on their outward investment.

Prior to joining Skrine, Fariz’s practice included advising on debt and equity capital markets transactions including initial public offerings, securitizations and privatisations. Fariz was also appointed as a Facilitator for the Prime Minister’s Department’s Performance Management & Delivery Unit’s (PEMANDU) Corridors & Cities Lab covering the Manufacturing and Oil, Gas & Petrochemical Entry Point Projects in the East Coast Economic Region.

Fariz graduated from King’s College London and was called to the Bar of England & Wales. He was subsequently admitted to practice as an Advocate and Solicitor of the High Court of Malaya and is now a Partner in SKRINE.

  Experience  

Energy and Oil & Gas

  • Acted as lead counsel for Reach Energy Berhad, a special purpose acquisition company (SPAC) on its proposed USD154.9 million qualifying acquisition of a 60% indirect interest in five subsoil assets in Kazakhstan.
  • Acted as Malaysian counsel for Murphy Oil Corporation in respect of the sale of 30% of its oil & gas assets in Malaysia to PT Pertamina in a deal valued at USD2 billion. [Asian Legal Business’ Malaysian M&A Deal of the Year 2015]
  • Acted as Malaysian counsel for Newfield Exploration Company in respect of its disposal of its oil & gas assets in Malaysia to SapuraKencana Petroleum Berhad for USD896 million.
  • Acted for GE Oil & Gas in its joint venture with SapuraKencana Petroleum Berhad for the provision of after-sale services of rotating oil and gas equipment in Malaysia.
  • Acted for INPEX Corporation in respect of its farm out on interest in Deepwater Block R and Block S, Offshore Sarawak to Santos.
  • Advised PETRONAS Dagangan Berhad (PDB) in its cross border acquisition of 6 downstream companies in the Philippines, Vietnam, Thailand and Malaysia representing PDB’s first overseas acquisitions in its history.
  • Acted for numerous international oil & gas companies in respect of entry and farm-ins of interests in production sharing contracts for oil and gas exploration and production for multiple exploration blocks both onshore and offshore, Malaysia.
  • Advised Halliburton in its negotiations and entry into a comprehensive oilfield services contract with the exploration arm of the national oil company, to provide contractor services required to enhance the recoverable reserves from the field in offshore Sarawak which had an estimated total project value is USD 1.2 billion with a term of 24 years.
  • Acted as Malaysian counsel for Coastal Energy Company in respect of its joint venture with a Malaysian company in connection with the risk service contract for the Kapal, Baranang and Meranti Cluster Fields, Offshore Malaysia.
  • Advised DNV GL in the implementation of the Malaysian aspects of the global merger between DNV (Stiftelsen Det Norske Veritas) and Germanischer Lloyd.
  • Advised an international offshore oilfield service company on the establishment of its Malaysian FPSO leasing business via Labuan.
  • Acted as Malaysian counsel for Mudabala Petroleum’s global restructuring of oil & gas exploration and production assets.
  • Advised the a Japanese Fortune 500 sōgō shōsha company on it’s the heads of agreement and joint venture agreement with PETRONAS to develop a new project within its Refinery and Petrochemical Integrated Development (RAPID) project in Pengerang in Johor, Malaysia.
  • Advised an global leader in the elastomer industry in its joint venture with PETRONAS for the production and marketing of synthetic rubber from four separate elastomer plants to be constructed build within PETRONAS' RAPID project in Pengerang Johor.
  • Acted as legal adviser for preparation of the proposed governance structure for the Pengerang Integrated Petroleum Complex.

Corporate and M&A

  • Acted for Ekuiti Nasional Berhad, a government linked private equity firm in its acquisition of a mobile transaction gateway operator.
  • Acted for the acquirer in its purchase of the Jarrod & Rawlins F&B business in Malaysia.
  • Acted as Malaysian counsel for Koch Industries, the world’s largest private company in connection with its global tax and corporation restructuring exercise.
  • Acted for Huhtamaki, a global leader in food packaging solutions in respect of the acquisition Butterworth Paper Cups Sdn Bhd [Finance Monthly Magazine’s Deal of the Month – April 2015]
  • Acted for Essentra Plc in respect of the acquisition of the entire assets and liabilities of Abric Berhad, a global leader in the manufacture of security seals.
  • Acted as Malaysian counsel in respect of Malaysian aspects of global merger between the publishing business of Pearson plc and Random House.
  • Acted for shortlisted foreign bidder for the proposed acquisition of AmLife Berhad and AmTakaful Berhad from AmBank Group.
  • Advised ING Group N.V in the disposal of its life insurance business in Malaysia to American International Assurance.
  • Acted as Malaysian counsel for the consolidation of Malaysian business following a merger between LG Electronics Inc and V-ENS Co. Ltd.
  • Advised the Employees Provident Fund in its joint venture with UK-based CVC Capital Partners and Johor Corp for the RM5.12 billion buyout offer for KFC Holdings (M) Berhad and QSR Brands Berhad.
  • Acted for shortlisted foreign bidder for the proposed acquisition of Silterra from Khazanah National Berhad.
  • Acted as Malaysian counsel in respect of a German conglomerate’s bid to acquire the Malaysian assets and liabilities of Q-Cells GmbH.
  • Advised on cross-border takeover offer of shares of LKT Industrial Berhad (now known as SAM Engineering & Equipment (M) Berhad by Singapore Precision Engineering, a group company of Temasek.
  • Led due diligence team in respect of the cross-border initial public offering of shares in MClean Technologies Berhad, a cleaning and washing solutions provider for the hard disc drive industry, whose entire manufacturing operations are based in Singapore and the Peoples’ Republic of China on the ACE Market of Bursa Securities Malaysia Berhad.
  • Advised on the cross-border initial public offering of shares in Mann Seng Metal International Limited, a manufacturer of metal fabricated products, on the Singapore Exchange (Catalist Regulations).
