Addy Herg graduated from the University of Manchester with a LLB degree in June 2010. He was admitted as a Barrister-At-Law (Inner Temple) in July 2011 and was admitted to practice as an Advocate and Solicitor of the High Court of Malaya in August 2012.

Having completed his pupillage with SKRINE, he joined SKRINE’s Corporate Division as an associate after his admission to the Malaysian Bar. He became a Senior Associate in SKRINE in August 2016.

Addy’s portfolio focuses on merger & acquisition, and foreign direct investment. He regularly acts for multinational corporations and foreign corporations in cross border transactions, joint ventures and investments. Apart from his merger & acquisition work, he also consistently advise Malaysian companies and foreign corporations on compliance, corporate laws and regulatory issues as part of his corporate advisory work. He has also advised and acted for China corporations in infrastructure and construction projects.

Addy is a liason person of SKRINE’s China Desk.

He is fluent in English and Mandarin, both professionally written and spoken.

Merger & Acquisition

  • Acted as Malaysian counsel for the subsidiary of a Japanese multinational giant in its acquisition of the special products division of a global manufacturing group. The allocated purchase price for the Malaysian subsidiary is approximately Euro 87 million.
  • Acted for a Japanese listed corporation in its acquisition of a majority stake in a rapid growing online cosmetics and beauty products Malaysian company for a purchase value of approximately RM50million, as part of its diversification of e-commerce business. The deal includes further options of acquiring the entire equity in the target which could see the total investment value rising to approximately RM85million.
  • Acted as Malaysian counsel for a foreign multinational reinsurer in its restructuring of its life and general reinsurance business. The restructuring component for Malaysia includes a Labuan entity.
  • Advised a Dubai based foreign company in its acquisition of a manufacturing company in Malaysia for a value of approximately RM800million. Headed the legal due diligence exercise and handled the transaction to its completion.
  • Advised a Japanese based multinational corporation in its investment in a private healthcare service provider which operates more than 20 hospitals across India, Malaysia, Vietnam and Indonesia.
  • Assisted in a giant Malaysian fund management company’s acquisition of the entire equity of a highway concession company for a purchase consideration of RM380 million.
  • Assisted in the acquisition of a majority stake in a Malaysian insurance company by a foreign company and the establishment of a joint venture company with a local partner. Assisted in the legal due diligence exercise in respect of the acquisition. Assisted in the completion of the said transaction.
  • Assisted in the acquisition of a Malaysian manufacturing company by a foreign company. Assisted in the legal due diligence exercise in respect of the acquisition. Assisted in the completion of the said transaction.
  • Assisted in the acquisition of minority shareholding in a Malaysian takaful operator by a foreign company and assisted in the establishment of a joint venture arrangement with a local partner. Assisted in the legal due diligence exercise in respect of the acquisition.
  • Headed legal due diligence in respect of a proposed acquisition of a Malaysian company in the private healthcare industry by a foreign corporation.
  • Headed legal due diligence in respect of a proposed acquisition of a Malaysian company in the Information Technology solutions industry.
  • Assisted in several legal due diligence for international corporations in their proposed acquisitions of Malaysian corporations in oil and gas industry, manufacturing products, private healthcare, real estate agencies and service sector.

Foreign Investment and Licensing

  • Advised and assisted a foreign direct sale company in its establishment and set up of a subsidiary in Malaysia. Assisted the subsidiary in obtaining the necessary regulatory approval for its business model focusing on selling service based product – the very first of its kind in the multi-level marketing industry in Malaysia. Advised and provided solution on the practical and business challenges in respect of the business, from set up to finish.
  • Advised a reputable international insurance company in its strategic partnership with a local service provider in respect of its online business model.
  • Advised an American-based online retail company in its establishment in Malaysia. Advised and handled said establishment from incorporation, obtaining relevant licences, review of business contracts and related tenancy matters.
  • Advised on various proposed foreign investment transactions in Malaysia. Areas of advice include legal and regulatory compliance involving authorities such as Bank Negara Malaysia, Inland Revenue Board, Malaysian Industrial Development Authority, Ministry of Domestic Trade, Co-operatives and Consumerism, Ministry of Health and other related governmental ministries and agencies.
  • Advised Malaysian and foreign companies on various legal and compliance issues relating to company law, securities law, laws in respect of financial services industry and other applicable laws relevant to the specific industry, including the applicable regulatory authorities’ guidelines, policies and requirements in Malaysia.
