  Overview  

Bell graduated from University of Cardiff with a LLB (Hons) degree in 2005. She also obtained her Master of Laws (LLM) (Chinese and Comparative Law) from City University of Hong Kong in November 2008, where she became acquainted with the Hong Kong – as well as the Chinese legal systems and was exposed to international commercial and investment laws (including International Trade and Investment Law, WTO Law and Intellectual Property Law in various legal systems).

When she returned to Malaysia, she worked as an Intellectual Property Executive in Messrs Bustaman & Co. specializing in the area of Intellectual Property. Subsequently, she left the position to pursue the Certificate in Legal Practice (CLP). She was admitted to practice as an Advocate and Solicitor of the High Court of Malaya in September 2011.

Prior to joining Skrine, she was mainly involved in corporate advisory work, corporate finance including equity capital market, mergers and acquisitions, and intellectual property matters. She joined Skrine as an Associate in June 2016 and is now a Senior Associate with Skrine’s Corporate Division.

Corporate and M&A

  • Advised an American multinational banking and financial services holding company on conflict of interest laws for its business lines in Malaysia.
  • Advised a supply chain and procurement consultancy company retained by the Ministry of Petroleum and Minerals in the Kingdom of Saudi Arabia in respect of laws, regulations and instruments of construction industry in Malaysia.
  • Assisted and advised a world leading food company based in Europe on its proposed acquisition of qualified equity interest in a food and beverage public listed company in Malaysia.
  • Assisted and advised from the Malaysian laws perspective a form of Engineering, Procurement, Construction and Commissioning contract (“EPCC”) for a refinery and petrochemicals development project in Malaysia.
  • Assisted and advised Ekuinas on its acquisition of shares in a franchise owner and operator of Burger King Malaysia, and the franchise owner and operator of Manhattan Fish Market, Malaysian franchise of Tony Roma’s and Malaysia and Singapore franchises of Popeyes.
  • Assisted and advised a Singaporean public company listed on the Main Board of Singapore Exchange Securities Trading Limited on its proposed acquisition of 70% equity stake in a group of companies in Malaysia which are principally involved in manufacturing industry focusing in aerospace and energy and oil & gas.
  • As the leading associate in the project involving a proposed acquisition of a 40.00% effective participating interest in the target oil and gas assets based in Thailand by an upstream oil and gas-focused SPAC listed on the Main Market of Bursa Securities as its qualifying acquisition.
  • Providing high level urgent notice of advice in connection with a potential takeover of a Malaysian company listed on Bursa Malaysia, with the intention to acquire 100% of the Malaysian company. This involved examination of various deal structures.

Capital Markets

  • As the leading associate in the project of a proposed IPO and listing of and quotation for a healthcare business-focused special purpose acquisition company (SPAC) on the Main Market of Bursa Securities Malaysia Berhad, with the intention to raise RM750 million.
  • As the leading associate in connection with a proposed IPO by a Singaporean holding company on the Catalist Board of Singapore Exchange Securities Trading Limited.
  • Advised a company listed on the Main Market of Bursa Securities Malaysia Berhad on its renounceable rights issue exercise with attached bonus shares and establishment of employee’s share option scheme.
  • Assisted and advised a company listed on the Main Board of Stock Exchange of Hong Kong Limited on its proposed acquisition of the entire equity interest of a BVI company with a wholly-owned subsidiary company in Malaysia in the operation of iron ore mining business.
