Theresa Chong is the Senior Partner of Skrine. She graduated from University of Malaya in 1977. She was admitted as an advocate and solicitor of the Malaysian Bar in 1977 and commenced legal practice with Skrine immediately. She became a partner of Skrine in 1986. She has over 30 years’ experience in the areas of Corporate, Commercial, Mergers and Acquisitions, Banking, Property and Infrastructure.

Theresa’s experience includes advising foreign corporations in respect of setting up businesses in Malaysia, joint ventures and other forms of investment structures in Malaysia, assisting Malaysian clients in respect of setting up businesses outside Malaysia, drafting and negotiating transactions in respect of mergers and acquisitions, drafting and negotiating documents in respect of project finance, property finance, corporate banking, retail banking, restructuring and work-outs, venture capital; advising, drafting and negotiating commercial documents including documents in respect of transactions or business activities in the automotive, hospitality, pharmaceutical, manufacturing sectors; mining, infrastructure, energy, advising, drafting and negotiating documents in respect of property transactions, setting up of trusts and charities.

  • Acted for Australian urban developer (MNC Lendlease) in its joint venture (as a strategic development partner) with the real estate/property arm of a major GLC and negotiated the Heads of Terms and Shareholders Agreement relating to RM8,000,000,000 Lifestyle Quarter, a retail-led mixed use development comprising of a hotel, residential towers and retail mall in the new financial hub in Kuala Lumpur, namely, The TRX Exchange.
  • Acted for Sime Darby Engineering Sdn. Bhd. in respect of its sale of:
    • its fabrication of oil and gas related structures business comprising only the assets in relation to its fabrication yard in Pasir Gudang, Johor Bahru to Malaysia Marine and Heavy Engineering Sdn. Bhd.; and
    • its assets in relation to its fabrication yard in Teluk Ramunia, Johor Bahru to Petronas Assets Sdn. Bhd.
  • Acting for Mass Rapid Transit Corporation Sdn Bhd in the negotiations and execution of mutual agreements with certain landowners affected by the Mass Rapid Transit project for the Klang Valley.
  • Acted for Petronas Dagangan Berhad in respect of its purchase of shares in 4 different jurisdictions in Asia including Malaysia.
  • Acted for an Indonesian acquirer in the acquisition of corporations owning the Penjom gold mines in Pahang and advised in the Malaysian aspects of the financing of the acquisition. The exercise also included due diligence on the business including the mining tenements.
  • Advising and drafting land agreements relating to the acquisition of land for the purpose of the construction of an oil refinery in East Malaysia and the lease of land from the relevant port authority. The project included negotiation with the relevant authorities including the port authority, the development authority of the State, the Malaysian Industrial Development Corporation and the Department of Environment. Negotiations with the port included provisions for the transfer of the oil from the ships to the jetty and from the jetty to the refinery site.
  • Advising and drafting agreements relating to a joint land development of a central market in East Malaysia.
  • Acted for offshore funds in respect of investment in forestry projects, advising on the applicable Malaysian laws, structures, drafting, negotiating and advising on project agreement, management agreement, trust agreement, shareholders/joint venture agreements and advising on tax issues jointly with tax advisers.
  • Advising, drafting agreements which involve settlers under the Land (Group Settlement) Act whereby the settlers agree to permit the mining company to enter upon the lands for the purpose of conducting prospecting activities for gold and thereafter to mine minerals.
  • Advising on structure of entity comprising homeowners of gated communities for purpose of management of common property and drafting Memorandum and Articles of Association and attending to the incorporation of the entity.
  • Drafting and advising on syndicated banking facilities for the purpose of project financing including the drafting of security documents such as debentures, assignment of project proceeds account, assignment of project proceeds, assignment of cash control account, assignment of insurance proceeds, assignment of sub-contracts, assignment of advance payment guarantees, memorandum of deposit and assignment of performance bonds.
  • Advising and drafting debt restructuring agreements.
  • Perusing and advising from the viewpoint of the laws of Malaysia a gold loan facility agreement and a gold and foreign currency hedging agreement, making the relevant application to the Foreign Investment Committee regarding the creation of securities, making the relevant application to Bank Negara regarding the taking of the facilities, drafting the security documents relating to assets in Malaysia which includes the creation of charges over mining tenements.
  • Perusing and advising from the viewpoint of the laws of Malaysia facilities granted by off shore syndicate of lenders concerning facilities granted to a Malaysian company for the purpose of project financing or as the case may be, concerning facilities granted to a related corporation of a Malaysian company, which facilities are to be secured over assets of a Malaysian company, and drafting the security documents relating to assets in Malaysia, drafting and submitting the relevant application to the Controller of Foreign Exchange and other relevant regulatory authorities in Malaysia, issuing counsels opinion in respect of the status of the Malaysian borrower or security provider, the enforceability of the obligations of the Malaysian borrower/security provider and enforceability of the security documents relating to assets in Malaysia.
  • Advising on issues relating to taking of security over Malaysian assets in relation to 5 proposed renewable energy projects in Malaysia;].
  • Drafting documents relating to investment by venture capitalists in information technology companies.
  • Advising on issues relating to the conducting of business in Malaysia including the structures available, the regulatory approvals to be sought and the tax issues involved and drafting and submitting applications to the relevant regulatory authorities including without limitation, the Foreign Investment Committee of the Prime Minister's Department, the Malaysian Industrial Development Authority and the Ministry of International Trade and Industry, Bank Negara Malaysia.
  • Advising and drafting of agreements relating to joint ventures in Malaysia, technical assistance agreements and management agreements, drafting of Memorandum and Articles of Association of companies incorporated in Malaysia.
